Terms & Conditions
These Terms & Conditions (“Terms”) govern your use of gorcel.com and related pages (the “Site”), and — together with any signed statement of work, engagement letter, proposal, or NDA — the operations consultancy and diagnostic services offered by Gorcel (“Gorcel”, “we”, “us”). By using the Site or requesting services, you agree to these Terms. If you are acting for a company, you represent that you have authority to bind that company.
1. Services
Gorcel provides operations consultancy, including but not limited to leak diagnostics, process mapping, quantification of operational friction, implementation planning, and related systems, automation, and documentation work.
Website content, calculators, and marketing copy are informational. They are not a binding offer, audit opinion, or guarantee of outcomes for your business. Binding scope, fees, timelines, and deliverables are defined only in a written engagement agreement accepted by both parties.
2. Site use
You may use the Site for lawful business purposes. You must not: attempt to disrupt or reverse-engineer the Site; scrape or harvest data at scale without permission; submit false or misleading form information; upload malware; or use the Site to infringe others’ rights.
We may change, suspend, or discontinue any part of the Site without notice. We are not liable for unavailability caused by maintenance, third-party outages, or events beyond our reasonable control.
3. Inquiries, triage, and calculator
Submitting a triage form, contact form, or calculator profile does not create a consultancy contract. We may decline engagements that are not a fit. Calculator outputs are estimates based on the inputs you provide and standard assumptions described on the Site; they are not a promise of recoverable value for your company.
4. Engagements and contracts
Paid work begins only when both parties accept a written agreement (for example a statement of work, engagement letter, or signed proposal) that sets scope, fee, payment schedule, timeline, deliverables, and any special terms.
If these Terms conflict with a signed engagement agreement, the engagement agreement controls for that project. An NDA, if signed, controls confidentiality for covered information.
You agree to provide timely access to people, systems, and data reasonably required for us to perform. Delays in access may shift timelines without reducing fees already earned, unless the agreement says otherwise.
5. Fees and payment
Fees are as stated in the applicable agreement — typically fixed-scope for diagnostics unless otherwise written. Invoices are due on the dates stated. Late amounts may accrue interest or suspension of work as allowed by the agreement and applicable law.
Taxes: fees are exclusive of applicable taxes unless stated otherwise. You are responsible for taxes imposed on your purchase of services, other than taxes on our income.
6. Diagnostic value guarantee
Where we publicly offer a “2x value” or similar diagnostic guarantee, the exact conditions, measurement method, claim window, and refund process are those stated in the applicable engagement agreement. Marketing language on the Site summarizes intent; the contract defines the enforceable commitment.
7. Intellectual property and ownership
Site content, branding, and Gorcel methodologies remain Gorcel’s property unless transferred in writing.
For client engagements, ownership of deliverables follows the signed agreement. Our standard commercial posture is that clients own the work product created specifically for them under the engagement (source, documentation, and related files), subject to Gorcel retaining ownership of pre-existing tools, frameworks, templates, and know-how, and a license to use anonymized learnings to improve our practice — never by disclosing your confidential information.
You retain ownership of materials you provide. You grant us a limited license to use them solely to perform the engagement.
8. Confidentiality
Each party must keep the other’s confidential information confidential and use it only for the engagement, except for information that is public, independently developed, or required to be disclosed by law (with notice where legally permitted). Signed NDAs add detail and prevail for covered disclosures.
9. Your responsibilities
You are responsible for the accuracy of information you provide; for lawful authority to share operational, employee, or customer data with us; for decisions you make based on our recommendations; and for implementing changes inside your organization unless implementation is expressly in scope.
10. Disclaimers
Except as expressly stated in a signed agreement, services and the Site are provided “as is.” We do not warrant that recommendations will achieve any particular revenue, margin, or operational result. Business outcomes depend on many factors outside our control, including your execution, market conditions, and third-party tools.
11. Limitation of liability
To the maximum extent permitted by applicable law, Gorcel is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from the Site or services.
Except for liability that cannot be limited by law (such as fraud), our aggregate liability arising out of an engagement is limited to the fees you paid us for that engagement in the twelve (12) months before the claim. Site-only use without an engagement: liability is limited as mandatory law requires.
12. Indemnity
You agree to indemnify Gorcel against claims arising from your misuse of the Site, your breach of these Terms, or your provision of unlawful or unauthorized data to us, except to the extent caused by our willful misconduct.
13. Third-party tools and products
Engagements may involve third-party software (for example ERPs, CRMs, or automation platforms). Those products are governed by their own terms. Gorcel is not responsible for third-party outages, pricing changes, or license restrictions unless expressly assumed in writing.
Gorcel products such as Besha or Outcome Flow, if offered separately, may have additional product terms.
14. Governing law and disputes
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law rules, unless a signed engagement agreement specifies otherwise.
Courts in Cairo, Egypt have exclusive jurisdiction over disputes arising from these Terms or the Site, unless mandatory law or a signed agreement provides another forum. Parties should first attempt good-faith negotiation.
15. Changes
We may update these Terms by posting a revised version on this page with an updated date. Continued use of the Site after changes constitutes acceptance of the revised Terms. Active paid engagements remain governed by their signed agreements unless both parties amend them in writing.
